AstraZeneca and Bristol Myers Squibb explore a $400B merger — CNBC / Financial Times

The Financial Times reported Sunday that AstraZeneca has held early-stage talks with Bristol Myers Squibb about a combination valued near $400 billion — which would create the world’s fourth-largest pharmaceutical company and rank among the largest deals the industry has ever attempted. Bloomberg confirmed the talks have run for several months, with sources cautioning the deal may still be delayed or fall apart. Neither company has confirmed the reports.

The market reaction inverted the usual acquirer/target script: BMY rose while AZN fell as much as 7%, with analysts telling CNBC they were “perplexed” by the strategic logic. Worth noting the history — AstraZeneca rebuffed Pfizer’s $118B hostile bid in 2014, and is now reportedly chasing a cross-Atlantic deal several times that size. Any agreement would face simultaneous review by the FTC, the UK’s CMA, and the European Commission.

Ferguson replaces Electronic Arts in the S&P 500 — S&P Global

Ferguson Enterprises (FERG) joins the S&P 500 before the open Wednesday, August 5, replacing Electronic Arts, which is being taken private by a consortium of the Public Investment Fund, Silver Lake, and Affinity Partners. FERG jumped roughly 8% in Friday’s after-hours session on the index-inclusion bid.

Watch whether the Dow’s healthcare-and-industrials bid broadens or stays penned inside the merger trade — a full percentage point of spread over the NASDAQ is a rotation signal, not noise. The week’s real test comes Friday with July payrolls, after June’s report landed at just 57,000 jobs against 110,000 expected; the Fed held at 3.50%–3.75% on July 29 in a 9–3 vote where all three dissents wanted a hike, so a soft print puts the committee’s hawkish minority directly at odds with the tape.
