Overnight Developments

Meta files an automatic shelf registration for stock, preferred, warrants and units — SEC EDGAR

Meta filed an S-3ASR at 6:41:26 a.m. ET, and the stock broke in the same minute: from $640.61 at 6:39 to $632.92 at 6:41, then a second leg to a $616.92 low (-4.0%) at 6:59 before bouncing to about $629.60 (-2.0%) by 7:04. The prospectus, dated today, says Meta “may, from time to time, offer and sell, in one or more offerings, shares of common stock, preferred stock, depositary shares, warrants, purchase contracts, or units.” It is an unsized well-known-seasoned-issuer shelf with no prospectus supplement yet, so there is no offering size or timing on file. It follows last week’s board action creating a new non-voting share class, which the filings said is meant to boost the company’s ability to raise capital for AI infrastructure and to let Mark Zuckerberg sell shares to cover a potential California billionaire tax. Meta had already lost 9% last week on AI buildout spending worries despite an earnings beat. Affected sectors: Tech, AI Infrastructure

Lula wins a fourth term; Bolsonaro refuses to concede and Brazilian ADRs crater — CNBC

Luiz Inácio Lula da Silva took 51.8% to 48.2% in Sunday’s runoff after trailing in the first round, the first such comeback since Brazil returned to direct elections in 1989. Flávio Bolsonaro says he will seek to annul the result. Markets had positioned for a Bolsonaro win and fiscal austerity: the iShares MSCI Brazil ETF (EWZ) is -25% and Petrobras -23% pre-market, with CNBC’s live blog showing Itaú Unibanco -26%, Ambev -19%, Vale -3.2% and Embraer -4%. U.S. index futures are not reacting; this is an emerging-markets and Latin America story so far. Affected sectors: Emerging Markets, Energy, Materials, Banks

Neocloud stocks fall as Elon Musk says more than 200 of them face ‘guppy-level death’ — CNBC

Musk, replying to a Chamath Palihapitiya post predicting “partially stranded compute” in 2027, said more than 200 companies in the sector could collapse. CoreWeave is -5.0%, Nebius -3.9% and Iren -3.9% pre-market on top of October losses of more than 30% each, as credit investors have pushed their bond yields to distressed levels. Nvidia, an investor in several neoclouds, is flat. Separately, Musk said SpaceX closed $40 billion in callable debt financing to buy GPUs, structured through a special purpose vehicle to keep it off the balance sheet, per Bloomberg. Affected sectors: AI Infrastructure, Semiconductors, Credit

Oil slides over 2% as traders weigh Saudi attack risks, demand destruction — CNBC

WTI is -2.19% to $101 and Brent -1.89% to $114.51 after Friday’s rally took Brent to a six-month-high settle of $116.72. The Houthis said they targeted Riyadh’s main airport and oil facilities on Saturday and Saudi Arabia reported intercepting more missiles and drones on Sunday, but the airport resumed operations and the market is now weighing demand erosion above $120 Brent. The post-midterm U.S.-Israel strike risk on Iran that drove last week’s move has not changed. Affected sectors: Energy, Airlines, Transports

What to Watch at Open

Meta filed an unsized automatic shelf at 6:41 a.m. ET covering common stock, preferred, warrants and units, and the stock fell as much as 4% within twenty minutes, so watch for a prospectus supplement with a size before the open. Brazilian ADRs are down 20 to 25% on Lula’s win while S&P futures sit flat, neoclouds are lower again after Musk’s warning, and the Fed, ECB and Bank of Japan all decide this week with Alphabet and Microsoft reporting Wednesday.
